§1.Aregisteredpartnershipshallbeincorporatedupon
itsentryintheregister.
§2.Personsactinginthenameofthepartnershipafteritsformation
butbeforeitsentryintheregistershallbeliablejointlyandseverallyforthe
partnership’sobligationsresultingfromsuchactions.
Article26.
§1.Theapplicationforregistrationofaregisteredpartner-
shipfiledwiththeregistrycourtshallcontain:
1)thebusinessname,registeredoffice,andaddressofthepartnership;
2)theobjectsofthepartnership;
3)fullnamesorbusinessnamesofthepartnersandaddressesofthe
partnersoraddressesforcorrespondence;and
4)fullnamesofpersonsauthorisedtorepresentthepartnershipand
mannerofrepresentation.
§2.Anychangeintheparticularsreferredtoin§1aboveshallbefiled
withtheregistrycourt.
§3.Eachpartnershallhavetherightanddutytofileanapplication
forentryofaregisteredpartnershipintheregister.Theapplicationshallbe
accompaniedbyspecimensignaturesofpersonsauthorisedtorepresentthe
partnership,madeinthepresenceofthecourtorcertifiedbyanotary.
§4.ThepartnershipreferredtoinArticle860oftheCivilCode(civillaw
partnership)maybetransformedintoaregisteredpartnership.Thetransfor-
mationmustbefiledwiththeregistrycourtbyallthepartners.Theprovisions
of§§1-3shallapplyaccordingly.
§5.Uponitsentryintheregister,thepartnershipreferredtoin§4
shallbecomearegisteredpartnership.Suchpartnershipshallholdallthe
rightsandobligationsconstitutingthejointpropertyofthepartners.The
provisionsofArticle553§§2and3shallapplyaccordingly.
§6.Beforefilingforregistrationinaccordancewith§4,thepartners
shalladjustthedeedofpartnershiptotheprovisionsonadeedofaregistered
partnership.
Article27.
Thespouseofapartnermayrequestthatanotebeentered
intheregisterconcerningacontractonthematrimonialpropertyrelation-
shipbetweenspouses.
