Article1.
§1.ThisActregulatestheestablishment,organisation,
functioning,winding-up,merger,division,andtransformationofcommercial
companies.
§2.Theformsofcommercialcompaniesare:registeredpartnership,
professionalpartnership,limitedpartnership,limitedjoint-stockpartnership,
limitedliabilitycompany,andjoint-stockcompany.
Article2.
AllmatterssetforthinArticle1§1whicharenotregulated
inthisActshallbegovernedbytheprovisionsoftheCivilCode.Wherethe
natureofthelegalrelationshipofacommercialcompanysorequires,the
provisionsoftheCivilCodeshallapplyaccordingly.
Article3.
Byexecutingthedeedofacommercialcompany,theshare-
holdersorpartnersshallagreetofurthercommonpurposesbymakingcon-
tributionsand,ifthearticlesofassociationorthestatutessoprovide,by
co-operatinginanothermannerspecifiedtherein.
Article4.
§1.InthisAct:
1)partnershipshallmeanaregisteredpartnership,aprofessionalpart-
nership,alimitedpartnership,oralimitedjoint-stockpartnership;
2)companyshallmeanalimitedliabilitycompanyorajoint-stockcom-
pany;
3)single-membercompanyshallmeanacompanyinwhichallofthe
sharesareheldbyoneshareholder;
4)dominantcompanyorpartnershipshallmeanacommercialcompany:
a)whichholds,directlyorindirectly,amajorityofvotesatthesha-
reholders’meetingorthegeneralmeeting,alsointhecapacityof
apledgeeorusufructary,oronthemanagementboardofanother
